Name

The name of the Organization shall be the School Nurse Organization of Idaho, (hereafter known as the Organization).
 

Goals

Section 1. The goal of the Organization shall be to operate exclusively as an educational organization on a nonprofit basis.

Section 2. To promote and advance the quality of school health services and health education throughout the State of Idaho.
 

Affiliation

The Organization is an affiliate of the National Association of School Nurses, Inc.

 

Article I

Types of Membership
 

Section 1. Eligibility:

 Active membership in the Organization shall be open to any professional nurse who meets the requirements for school nursing in the State of Idaho.

Section 2. Instatement:

Any person eligible for membership and who meets the requirements set forth in these Bylaws for his/her class of membership.
 

Section 3. Classification:

There shall be classes of membership: Active, Active retired, Associate, Retired, Student, member-at-large, Corporate/Business/Professional Organization members, and lifetime retired.
 

 

A. An Active member shall be:

1. Any registered professional school nurse provided that the person is employed by:
a. Board of Education
b. A Governing Board of a private school
c. A Board of Trustees of an institution of higher education
d. A State Education Department of Public Instruction
e. A State District Health Department
f. A hospital

 2. Any retired member who desires to remain in the active membership classification shall be required to pay full active membership dues and, upon payment of dues, shall be granted active membership privileges.

3. Rights: Active members shall have full voting privileges and powers, shall be eligible to hold office, and shall receive all regular and special publications and mailings.
 

 

B. An Associate member shall be:

1. Any registered professional nurse who is not eligible for active membership, but who serves a school, upon payment of dues shall be an associate member.

2. Rights: Associate members shall be eligible for all benefits of the Organization with the exception of voting and privileges of elected positions. An associate member may be a committee member but not a chairperson. An associate member shall receive all regular and special publications and mailings.
 

 

C. A Retired member shall be:

1. Any school nurse who is a member of the Organization, upon retirement shall be eligible to become a retired member, upon notification of the Organization.

2. Rights: Retired members shall be eligible for all benefits of the Organization with the exception of voting and privileges of elected positions. A retired member may be a committee member but not a chairperson. A retired member shall receive all regular and special publications and mailings.
 

 

D. A Student member shall be:

1. A student of a school of professional nursing, not employed as a school nurse on a full or part-time basis.

2. Student membership shall not be granted to a person who has previously attained or been eligible for active status.

3. Student membership status shall not be renewed more than once for a graduate nurse.

4. Rights: Student members shall be eligible for all benefits of the Organization with the exception of voting and privileges of elected positions. A student member may be a committee member but not a chairperson. A student member shall receive all regular and special publications and mailings.
 

 

E. A Member-at-large shall be:

1. Any person not eligible for active membership who is interested in the purposes of the Organization and pays membership dues.

2. Rights: Members-at-large shall be eligible for all benefits of the Organization with the exception of voting, serving on a committee and holding office. A member-at-large shall receive all regular and special publications and mailings.
 

 

F. Corporate/Business/ Professional Organization members shall be:

1. Those organizations or persons who desired to support the goals of the Organization and whose members are not eligible for Active or Associate membership in the Organization.

2. Granting of a Corporate/Business/Professional Organization membership shall in no way bind the Organization to support philosophies or policies of any Corporate/Business/Professional Organization members.

3. Rights: Corporate/Business/Professional Organization members shall be eligible for all benefits of the Organization with the exception of voting, serving on a committee and holding office. A Corporate/Business/Professional Organization member shall receive all regular and special publications and mailings.
 

 

G. Lifetime Retired members shall be:

1. Any retired former member of the Organization upon payment of a one-time life membership dues amount.

2. Rights: Lifetime retired members shall be eligible for all benefits of the Organization with the exception of voting and holding office. A Lifetime member shall receive all regular and special publications and mailings.
 

Section 4. Dues:

All annual dues shall be established by the governing body.

 

Article II

Fiscal and Membership Year
 

Section 1. Fiscal Year:

The fiscal year of the Organization shall be from September 1 through August 31.
 

Section 2. Membership Year:

The governing body shall establish the membership year.

 

Article III

Officers
 

Section 1. Composition:

The elective officers of the Organization shall be a president (or co-presidents), a president-elect (or co-presidents-elect), a secretary/treasurer (or co-secretary/treasurer), the immediate past-president (or co-past-presidents), a district representative, and the NASN director.
 

Section 2. Eligibility:

Only Active members of the Organization shall be entitled to hold office.
 

Section 3. Term of Office:

Officers, with the exception of the district representative and the NASN director, shall serve for a term of one year or until their successors are elected, and their term shall begin upon the adjournment of the annual meeting in which they were declared elected. No officer shall be eligible for consecutive re-election to the same office with the exception of the secretary-treasurer.
 

 

A. The president office comprises president elect, president and past president. The total term served shall be three (3) years.

B. The NASN director shall serve a term of two (2) years with the option of serving another two (2) year term for a total of four (4) consecutive years.

C. All other officers and standing committee chairpersons shall serve a total term of two (2) years.

D. The term of office shall begin upon the adjournment of the annual meeting in which they were declared elected.)
 

Section 4. Vacancy:

A vacancy in an office shall be filled by ballot vote of the board of Directors, except in the case of a vacancy in the office of president-elect; the successor shall be elected by mail ballot vote of the membership.
 

Section 5. Transfer of Materials:

Following election of officers, each office shall deliver all materials pertaining to the office, to the successor within one (1) month.

 

Article IV

Duties of Officers
 

Section 1. Duties:

The officers shall perform the duties prescribed by these Bylaws and the parliamentary authority adopted by the Organization.
 

 

A. The president shall:

1. Preside at all meetings of the Board of Directors, the Annual Meeting and at all membership meetings

2. Appoint Standing Committees subject to the approval of the Board of Directors.

3. Appoint special committees as deemed necessary.

4. Be an ex-officio member of all committees except the nominating committee.

5. Perform such other duties as may be required or assigned.
 

 

B. The president-elect shall:

1. In the absence or disability of the president, perform the duties of the president.

2. Succeed the president for the unexpired term; serve the term of president elected.

3. Serve as the Chairperson of the Education Committee.

4. Serve as the Coordinator of the Annual Conference.

5. Perform such other duties as may be required or assigned.
 

 

C. The secretary/treasurer shall:

1. Keep minutes of the proceedings of all meetings of the Organization.

2. Have general supervision of the financial affairs of the Organization.

3. Serve as Chairperson of the Finance Committee. May also chair Membership Committee.

4. Dispose of funds as may be ordered by the Board of Directors.

5. Perform such other duties as may be assigned by the president.
 

 

D. The immediate past-president shall:

1. Serve as Chairperson of the Nominating Committee.

2. Serve as Chairperson of the school nurse of the year committee.

3. Perform such other duties as may be assigned by the president.
 

 

E. The district representative shall:

1. Each year, by the annual meeting, a report will be due to the secretary/treasurer that includes number of nurses in that area, names, address, school served, phone numbers, and e-mail address.

2. Collect information from your school district and health department and forward to a member of the executive committee and newsletter editor.

3. Disseminate information from the executive committee to your area.

4. Perform such other duties as may be assigned by the president.
 

 

F. The national director shall:

1. Prepare an annual written report for presentation to the general membership.

2. Apprise the organization of national issues impacting school nursing as they happen.

3. Represent the Organization at all NASN meetings.

4. Perform such other duties as may be required by the president.

 

Article V

Meetings
 

Section 1. Annual Meeting:

The Organization shall hold an annual meeting each year, at a time and place the Board of Directors shall determine, to conduct business, hear reports of progress of the past year, amend the Bylaws, and do other business as may properly come before it.
 

Section 2. Special Meetings:

Special meetings of the general membership concerning state or regional matters may be called by the Board of Directors as it deems proper and necessary.
 

Section 3. Quorum:

A majority of the active members registered and present shall constitute a quorum.

 

Article VI

Board of Directors
 

Section 1. Composition:

The Board of Directors shall be composed of the elected officers, the immediate past president and the representative of each area of the State of Idaho, except District 4, which shall have two (2) representatives.
 

 

A. District Representatives shall be elected by the voting membership present at the annual meeting for a term of two (2) years, and their term shall begin upon the adjournment of the Annual meeting in which they were declared elected. Districts I, III, V, VII shall hold elections in odd numbered years; II, IV, VI in even number years (or as decided at the Annual Meeting).

B. Districts defined will be the same as the district health departments (District 1-7 Sec map).
 

Section 2. Eligibility:

A member of the Board of Directors must be an Active Member of the Organization.
 

Section 3. Authority:

The Board of Directors shall:

A. Conduct the affairs of the Organization in accordance with the Article of Incorporation. Bylaws and directives adopted at the Annual Meeting.

B. Have full power to put into effect the policies and decision of the Organization.
 

Section 4. Duties:

The Board of Directors shall:

A. Determine time and place of the annual meeting.

B. Establish dues for the varying classes of membership.

C. Adopt a budget and report to the annual meeting the fiscal result for the current year to date.

D. Fill a vacancy occurring on the Board of Directors. In case of a vacancy in the office of president-elect, the vacancy shall be filled pursuant to Article III Section 4 of the Bylaws.

E. Exercise general supervision of the receipts and expenditures of the Organization, manage the affairs, funds, and property of the Organization and do all things necessary and advisable.

F. Formulate Standing Committee guidelines, which shall be reviewed periodically.

G. Approve Stan ding Committee members who are appointed by the president.
 

Section 5. Meetings:

The Board of Directors shall:

A. Meet at least once prior to the annual meeting.

B. Hold a post-annual meeting and upon due notice, such other meetings as the Board of Directors shall determine.
 

Section 6. Term of Office:

No member of the Board of Directors shall serve more than four years at a time. A member may be elected to serve again after being off the Board of Directors for at least two years.
 

Section 7. Quorum:

A majority of the members of the Board of Directors shall constitute a quorum.

 

Article VII

Standing Committees
 

Section 1. Titles:

There shall be the following Standing Committees: Education, Professional Concerns, Finance, Legislation, Membership, Nominations, Bylaws and School Nurse of the Year.
 

Section 2. Composition:

The Composition of the Standing Committees shall be the exclusive concern of the president with the approval of the Board of Directors.
 

Section 3. Duties:

The members of the Organization's Standing Committees shall perform the duties of their committees as set forth in these Bylaws. Permanent records shall be transferred to incoming chairpersons as directed by the president or filed at the Organization office.
 

Section 4. Education:

The Education Committee shall:

A. Be composed of: The chairperson (president-elect) and the number of members designated by the chairperson.

B. Provide and/or approve programs that promote the professional and personal growth of school nurses.
 

Section 5. Professional Concerns:

The Professional Concerns Committee shall:

A. Be composed of a chairperson and the number of members designated by the chairperson.

B. Be appointed to serve for a two-year term with staggered appointments to assure continuity to the committee.

C. Maintain contact with various professional groups regarding information pertinent to school health.

D. Accept charge from the Organization's governing body on their request for study regarding professional standards.
 

Section 6. Finance:

The Finance Committee shall:

A. Be composed of a chairperson (secretary/treasurer) and the number of members designated by the chairperson.

B. Study fiscal matters of the Organization.

C. Prepare and present a proposed budget to the Board of Directors at the annual meeting of each year.
 

Section 7. Legislation:

The Legislation Committee shall:

A. Be composed of a chairperson and the number of members designated by the chairperson from each of the seven designated geographic areas.

B. Work to establish relationships, which will inform the membership of legislation affecting school health services, and school nursing.

C. Review pending legislation relative to school health services, school nursing, and the welfare of children.

D. Coordinate efforts regarding legislation pertinent to school health and school nursing with the Idaho Nurse's Association.
 

Section 8. Membership:

The Membership Committee shall:

A. Be composed of a chairperson (it may be the Secretary/Treasurer) and the number of members designated by the chairperson from the seven designated geographic areas.

B. Promote membership in the Organization and follow guidelines as established by the Board of Directors.
 

Section 9. Nominations:

The Nominations Committee shall:

A. Be composed of the chairperson (immediate past-president) and the number of members designated by the chairperson. The committee shall be elected by the Board of Directors and shall:

1. Secure the consent of the nominee(s).

2. Submit the name of at least one eligible candidate for each office.

3. Submit its report to the president and the Election Committee Chairperson sixty days prior to the annual meeting.
 

Section 10. Bylaws:

The Bylaws Committee shall:

A. Be composed of a chairperson and the number of member designated by the chairperson

B. Review and propose changes as needed.
 

Section 11. School Nurse of the Year:

The School Nurse of the Year Committee shall:

A. Be composed of the chairperson (immediate past-president) and the number of members designated by the chairperson.

B. Initiate, promote, and complete the process whereby a member shall be selected for the title from nominations.

C. The name of the person selected as School Nurse of the Year shall be announced at the annual fall meeting.

D. The person chosen shall hold the title for one (1) year.

 

Article VIII

Elections
 

Section 1. Elections:

Election of officers shall be by ballot. A plurality of votes of those voting in any election shall constitute an election.
 

Section 2. Eligibility:

Only active members shall be eligible to be elected to office.

 

Article IX

Parliamentary Authority
 

Section 1. Robert's Rules of Order. Newly Revised:

Shall apply on all questions of procedure and parliamentary law not specified in these Bylaws.

 

Article X

Amendments
 

Section 1. Amendments:

These Bylaws can be amended by either of the following procedures:

A. A two-thirds vote in the annual meeting with previous notice of the proposed amendment having been given to the president at least sixty days prior to the date of the Annual Meeting and mailed to the members at least fifteen days prior to the date of the Annual Meeting or,

B. A four-fifths (80%) vote in the Annual Meeting with written notice having been made available at least eight hours before the vote, to all members registered at the Annual Meeting.
